Acceptance of Terms
By creating an account, accessing, or using PrivateDocs AI ("Service," "Platform," "we," "us," or "our"), you ("User," "Customer," or "you") agree to comply with and be legally bound by these Terms of Service ("Terms").
If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. In such case, "you" and "your" will refer to that entity.
If you do not agree to these Terms, you must not access or use the Service.
Description of Service
PrivateDocs AI provides a local desktop software application designed for law firms, finance companies, and other organizations requiring secure, fully offline AI document processing.
The Service allows users to:
- Store and process sensitive documents in a private local vault on devices they control
- Query documents using local large language models (LLMs) running on their own CPUs or GPUs (e.g., Apple Silicon or NVIDIA GPUs)
- Generate AI-powered insights and responses based on uploaded content, without sending that content to any cloud service
- Maintain complete data privacy with zero third-party AI API calls
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, though we will make reasonable efforts to notify users of material changes.
Desktop Application & Local Mode
The Service may be offered via a desktop application (e.g. Tauri-based). When you use the desktop app in Local Mode, AI inference and document processing are performed entirely on your device using a local backend and Ollama. In Local Mode:
- Your documents, embeddings, and chat data are stored and processed only on your machine; they are not sent to our cloud infrastructure.
- Availability, performance, and functionality depend on your hardware, Ollama, and local configuration; we do not guarantee uptime or support for third-party components (e.g. Ollama).
- These Terms apply to your use of the desktop application and Local Mode, except where clearly inapplicable (e.g. payment and subscription terms apply to cloud plans; data processed only in Local Mode is not "processed by us" for purposes of our cloud data commitments).
You are responsible for securing and backing up data stored on your device in Local Mode.
Desktop Application (Local-Only)
This section summarizes how these Terms apply when you use the PrivateDocs AI desktop application. The software is designed to run locally on your own hardware. AI and document processing occur on your device; no document or chat content is sent to PrivateDocs AI or its infrastructure for that processing.
- Acceptable Use & Content: You remain responsible for your use of the Service and any content you process, including in Local Mode.
- No Warranty: The Service is provided "as is." We do not warrant that the desktop application or any third-party components (e.g., operating systems, GPU drivers) will be uninterrupted or error-free.
- Data Ownership: You retain ownership of all data you process in the application; it is stored only on your device.
AI Disclaimer
IMPORTANT: AI-Generated Content Limitations
PrivateDocs AI uses artificial intelligence and large language models to generate responses. AI outputs may contain errors, inaccuracies, or "hallucinations" (plausible-sounding but factually incorrect information).
Users must verify all AI-generated information before relying on it for any purpose.
No Professional Advice
The Service does not provide legal, financial, medical, or other professional advice. AI-generated responses are for informational purposes only and should not be construed as professional consultation or recommendations.
PrivateDocs AI is not liable for:
- Decisions made based on AI-generated content
- Errors, inaccuracies, or omissions in AI outputs
- Financial, legal, or other losses resulting from reliance on AI responses
- Damages arising from the use or inability to use AI-generated information
User Responsibility
You are solely responsible for evaluating the accuracy, completeness, and usefulness of all AI-generated content. Always consult with qualified professionals for legal, financial, or medical matters.
Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:
Prohibited Activities
- Cryptocurrency Mining: Use of GPU infrastructure for cryptocurrency mining, blockchain validation, or similar compute-intensive operations unrelated to AI inference is strictly prohibited
- Illegal Content: Uploading, processing, or distributing content that is illegal, defamatory, harassing, obscene, or violates intellectual property rights
- Denial-of-Service Attacks: Attempting to disrupt, overload, or impair the Service's infrastructure or other users' access
- Unauthorized Access: Attempting to gain unauthorized access to any portion of the Service, other users' accounts, or connected systems
- Malware Distribution: Uploading or transmitting viruses, malware, or malicious code
- Reverse Engineering: Attempting to decompile, reverse engineer, or discover the source code of the Service
- Terms Circumvention: Bypassing usage limits, security measures, or access controls
Content Responsibility
You are solely responsible for all content you upload to the Service. You warrant that:
- You own or have the necessary rights to upload and process all content
- Your content does not violate any third-party rights or applicable laws
- You have obtained all necessary consents for processing personal data contained in your documents
We reserve the right to investigate violations of this Acceptable Use Policy and to suspend or terminate accounts that violate these Terms.
Account Registration
To use the Service, you must create an account and provide accurate, current, and complete information. You agree to:
- Maintain the security and confidentiality of your account credentials
- Notify us immediately of any unauthorized access or security breaches
- Accept responsibility for all activities that occur under your account
- Provide accurate billing and contact information
We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.
Payment & Licensing
One-Time Lifetime License
PrivateDocs AI is sold as a $149 one-time lifetime license (or as otherwise specified at the time of purchase). When you purchase a license, you obtain the right to download and run the desktop application on your personal or work machines, subject to these Terms.
Unless explicitly stated otherwise, there are no recurring subscription fees, usage-based charges, or renewal payments associated with your license.
Payment Methods
We accept payments via credit and debit cards through our payment processor, Stripe. All payment information is handled directly by Stripe; we do not store full card numbers or CVV codes.
Refunds
Unless required by applicable law or explicitly stated in a separate agreement, all license purchases are non-refundable. We encourage you to use the free trial period to evaluate whether PrivateDocs AI meets your needs before purchasing a lifetime license.
Intellectual Property & License Grant
PrivateDocs AI, including all associated software, documentation, logos, and branding, is owned by PrivateDocs AI, Inc. and is protected by copyright, trade secret, and other intellectual property laws.
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the PrivateDocs AI desktop application on devices you own or control, solely for your internal business or personal purposes.
You may not:
- Sell, rent, lease, or sublicense the software to any third party
- Use the software to provide a hosted or multi-tenant service to others
- Remove or obscure any proprietary notices or labels on the software
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the software, except to the limited extent permitted by applicable law notwithstanding this restriction
All rights not expressly granted to you are reserved by PrivateDocs AI, Inc.
Data Ownership
You retain full ownership of all data, documents, and content you upload to the Service. We do not claim any intellectual property rights over your content.
By using the Service, you grant us a limited license to process, store, and transmit your content solely for the purpose of providing the Service to you. This license terminates when you delete your content or cancel your account.
As outlined in our Privacy Policy, we do not access, view, or retain copies of your document content. All processing occurs in isolated environments that are cryptographically wiped after each session.
Service Availability
We strive to maintain 99.9% uptime for the Service, but we cannot guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:
- Scheduled maintenance (with advance notice when possible)
- Emergency maintenance or security updates
- Infrastructure provider outages or technical issues
- Force majeure events beyond our reasonable control
We will make commercially reasonable efforts to minimize downtime and to notify users of planned maintenance in advance.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
PrivateDocs AI and its affiliates, officers, employees, agents, and suppliers shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Service interruptions or data loss
- Errors or inaccuracies in AI-generated content
- Actions taken based on AI outputs
- Third-party services or infrastructure failures
Liability Cap
In no event shall our total aggregate liability to you for all claims arising out of or related to the Service exceed the amount you paid to us in the twelve (12) months preceding the claim.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.
Indemnification
You agree to indemnify, defend, and hold harmless PrivateDocs AI, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property rights
- Content you upload to the Service
- Your violation of applicable laws or regulations
We reserve the right to assume exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense of such claim.
Termination
Termination by You
You may terminate your account at any time by canceling your subscription through the account dashboard or by contacting support at support@privatedocsai.ai.
Termination by Us
We may suspend or terminate your account immediately, without prior notice, if:
- You violate these Terms or our Acceptable Use Policy
- Your payment method fails and remains unresolved
- We reasonably believe your account poses a security risk
- We are required to do so by law or court order
- We discontinue the Service (with 30 days' notice)
Effect of Termination
Upon termination:
- Your right to access and use the Service immediately ceases
- All data and content will be permanently deleted within 72 hours
- You remain liable for all fees incurred prior to termination
- Sections of these Terms that by their nature should survive (including indemnification, limitation of liability, and dispute resolution) will continue to apply
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Dispute Resolution
Any dispute arising out of or relating to these Terms or the Service shall be resolved through:
- Informal Negotiation: The parties will attempt to resolve the dispute informally by contacting legal@privatedocsai.ai
- Binding Arbitration: If informal resolution fails within 30 days, disputes will be resolved by binding arbitration in San Francisco, California, under the rules of the American Arbitration Association (AAA)
You agree that any arbitration shall be conducted on an individual basis and not as a class action or representative action.
Jurisdiction
You consent to the exclusive jurisdiction and venue of the state and federal courts located in San Francisco, California for any claims not subject to arbitration.
Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes:
- We will update the "Last updated" date at the top of this page
- We will notify you via email at least 30 days before changes take effect
- We will maintain an archive of previous versions for reference
Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must cancel your account before the effective date.
